Terms and Conditions
Effective date: November 2, 2026
These Terms and Conditions summarize the terms that apply to website, hosting, maintenance, AI answering, and software services provided by Torovio Technologies ("Torovio") to its customers ("Customer," "you"). Your signed service agreement, order form, or proposal (the "Agreement") controls if anything here conflicts with it.
1. Agreement and order of priority
Services begin only after you sign an Agreement and pay the first billing period. If these Terms and Conditions conflict with your signed Agreement, the Agreement controls. Proposals, quotes, and Site content are not binding offers until accepted in writing by Torovio.
2. Services and scope
Torovio provides the services described in your Agreement and selected plan, which may include website design and development, hosting, technical maintenance, foundational SEO, content updates, a client portal when available, AI answering services, and custom software. Anything not expressly listed in your Agreement or plan is out of scope, including but not limited to major redesigns, new custom features, specialized third-party integrations, copywriting, photography, paid advertising, and legal or accessibility certification. Out-of-scope work requires a separate written quote.
3. Fees, billing, and taxes
Plans are billed monthly in advance, or yearly upfront for annual plans. Your first billing period begins at onboarding after signing and payment, before development begins. Invoices are due upon receipt unless the Agreement says otherwise. Fees are non-refundable, and there are no prorated refunds for unused subscription time, except where required by law. You are responsible for applicable taxes. We may suspend services, after written notice, for invoices more than 15 days past due. We may change pricing for future billing periods with at least 30 days' written notice. We never charge automatically for exceeding plan allowances; additional work or capacity requires your approval.
4. Term and cancellation
You may cancel renewal at any time with written notice. Cancellation takes effect at the end of the current paid service period: monthly subscriptions remain active until the paid monthly term expires, and annual subscriptions remain active until the prepaid annual term expires. Cancellation does not cause immediate shutdown of your website. At the end of the paid term, public website hosting, normal client portal access, and your permission to use any Torovio-owned domain end. We may terminate immediately for non-payment after notice, illegal use, or material breach that is not cured within 10 days of notice.
5. After cancellation
A 90-day customer content recovery period begins when your paid service period ends. During that period you may submit a verified request to recover eligible business content, such as images, logos, text, menus, and business information. Exports are prepared manually by authorized Torovio staff. Exports do not include proprietary website source code, Torovio platform source code, developer-owned reusable components, or ownership of Torovio-registered domains. After the recovery period, eligible retained content is scheduled for deletion, subject to legal and backup retention requirements. Torovio is not responsible for content you fail to request during the recovery period.
6. Ownership
You own your business content, trademarks, and logos, and any domain name you register yourself and bring to Torovio. Torovio owns any domain it registers as part of your subscription (see Domain names), and its platform, templates, themes, tools, source code, developer-owned reusable components, designs not created exclusively for you, know-how, and all improvements to them. During your subscription, Torovio grants you a non-exclusive, non-transferable license to use the website as delivered. Proprietary platform and website source code are not included in content exports and are not transferred upon cancellation unless a signed Agreement expressly provides otherwise. Custom software ownership is governed by the applicable project Agreement.
7. Domain names
If Torovio registers and includes a domain as part of your website subscription, Torovio is the legal registrant and owner of that domain and handles its registration, DNS, renewal, and technical management. You receive a limited, non-transferable right to use the assigned domain only while your subscription is active and paid. Ownership does not transfer to you, and domain transfer is not included upon cancellation or expiration. Torovio retains the domain after your subscription ends, subject to applicable law and third-party rights. If you bring your own domain, you keep ownership of it, and you remain responsible for its registration and renewal with your registrar.
8. Your content and responsibilities
You are solely responsible for the accuracy, legality, and rights to all content you provide or publish, including menus, prices, allergen and nutrition information, health claims, promotions, business hours, photos, music, and text. You confirm you have all rights and licenses needed for that content. You must review your website and approve content before and after publication. Torovio does not verify your content and is not responsible for errors in it, including incorrect prices or allergen information.
9. Acceptable use
You may not use our services to publish or transmit unlawful, infringing, defamatory, deceptive, harassing, or obscene content; malware; spam; or content that violates any law, including consumer protection, privacy, and telemarketing laws. We may remove content or suspend services that we reasonably believe violates this section.
10. Third-party services
Our services may rely on third-party providers such as hosting, domain registrars, email, payment, online ordering, maps, telephony, and AI providers. Their services are subject to their own terms. Torovio is not responsible for their availability, performance, pricing changes, or acts and omissions.
11. AI answering services
AI answering services use automated technology that can misunderstand callers, produce inaccurate responses, or fail to answer. They are not monitored by a human in real time. You must approve the business information the service uses and keep it current. AI answering is not an emergency service and must not be used for medical, legal, safety, or emergency communications. You are responsible for complying with laws on call recording, consent, and disclosure that apply to your business, including notifying callers that they are speaking with an automated system where required. Capabilities and languages are limited to what is configured in your Agreement.
12. No guarantees
Torovio does not guarantee search engine rankings, traffic, leads, sales, revenue, call volume, or any business result. We do not guarantee uninterrupted or error-free service; occasional downtime may occur for maintenance or reasons outside our control.
13. Disclaimer of warranties
Except as expressly stated in your signed Agreement, all services, websites, software, and deliverables are provided "as is" and "as available." To the fullest extent permitted by law, Torovio disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accessibility compliance, and any warranties arising from course of dealing or usage of trade.
14. Limitation of liability
To the fullest extent permitted by law, Torovio and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption, even if advised of the possibility. Torovio's total liability for all claims arising out of or relating to the services or these terms will not exceed the fees you actually paid to Torovio in the three (3) months before the event giving rise to the claim. These limits apply regardless of the legal theory and are an essential basis of the bargain.
15. Indemnification
You agree to defend, indemnify, and hold harmless Torovio and its owners, employees, and contractors from all claims, damages, losses, fines, and expenses (including reasonable attorneys' fees) arising from your content; your products, food, or services; your use of the services; your violation of these terms or the Agreement; or your violation of any law or third-party right.
16. Confidentiality
Each party will protect the other's non-public business information disclosed in connection with the services and use it only to perform or receive the services, except as required by law.
17. Force majeure
Torovio is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, hurricanes, floods, power or internet outages, third-party provider failures, cyberattacks, labor disputes, government actions, or pandemics.
18. Dispute resolution
Before filing any claim, you agree to first contact Torovio at contact@torovio.com and try to resolve the dispute informally for at least 30 days. Any dispute not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Harris County, Texas. Either party may bring an individual claim in small claims court instead, or seek injunctive relief for intellectual property misuse.
19. Class action waiver
Claims may be brought only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or award class-wide relief.
20. Time limit for claims
To the extent permitted by law, any claim must be brought within one (1) year after it arises, or it is permanently barred.
21. Governing law and venue
These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Subject to the arbitration section, exclusive venue for any court proceeding is the state or federal courts located in Harris County, Texas.
22. General
If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign your rights without our written consent. We may update these terms; changes apply to future billing periods after notice. Notices to Torovio must be sent to contact@torovio.com.
